Acceptance of Terms

By accessing or using VendCom (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legal agreement between you and Aperna LLC (“VendCom,” “we,” “us,” or “our”).

Description of Service

VendCom is a cloud-based vending machine management platform operated by Aperna LLC, registered in Texas. The Service provides tools for tracking sales, managing inventory, scheduling restocking, and connecting to telemetry providers including Nayax, Cantaloupe, HaHa, and NAMA VDI.

Account Terms

  • You must be at least 18 years old or the legal age to enter into contracts in your jurisdiction
  • You are responsible for maintaining the security of your account and password
  • You must provide accurate and complete information when creating your account
  • You are responsible for all activity that occurs under your account
  • You may not share your login credentials with unauthorized individuals

Free Trial & Beta

VendCom is currently in beta and available for free with full access to all features. During the beta period:

  • The Service is provided “as is” without uptime guarantees
  • Features may be added, changed, or removed as the product evolves
  • We may introduce paid plans in the future with at least 30 days' notice
  • Your data will be preserved if and when paid plans are introduced

Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to other users' data or accounts
  • Use automated tools to scrape or extract data from the Service
  • Interfere with or disrupt the Service or its infrastructure

Violation of these terms may result in immediate suspension or termination of your account.

Data & Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all business data you enter into VendCom. We do not claim ownership of your data. We use your data solely to provide and improve the Service as described in the Privacy Policy.

Telemetry Data Disclaimer

VendCom receives sales data from third-party payment terminals (Nayax, Cantaloupe, HaHa, NAMA VDI). You acknowledge that:

  • We are not responsible for inaccuracies in data reported by payment terminals
  • Terminal data may be delayed, incomplete, or contain errors due to hardware malfunctions, network issues, or misconfiguration
  • You should periodically reconcile telemetry data with physical inventory counts
  • You are responsible for configuring and maintaining your telemetry provider accounts

Intellectual Property

VendCom and Aperna LLC retain all intellectual property rights in the Service, including the software, design, branding, and documentation. You retain ownership of your business data. By using the Service, you grant us a limited license to use your data solely to provide, maintain, and improve the Service.

Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability to you for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for lost revenue, lost profits, or business interruption related to telemetry data inaccuracies, service outages, or other operational issues

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In those cases, our liability is limited to the maximum extent permitted by applicable law.

Account Termination

  • You may close your account at any time by contacting us
  • We may suspend or terminate your account if you violate these Terms
  • Upon termination, you will have 30 days to export your data before it is permanently deleted
  • We may retain certain data as required by law or for legitimate business purposes (such as resolving disputes)

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal action arising from these Terms or your use of the Service must be brought in the state or federal courts located in the State of Texas. You consent to the personal jurisdiction of these courts.

Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or a notice within the application. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you should stop using the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
